Ampliação na regra sobre remessas de informações sobre cotistas de Fundos de Investimento


BANCO CENTRAL PUBLICA CIRCULAR N° 3.945/19 PARA ESTENDER A APLICAÇÃO DA REGRA DE REMESSA DE INFORMAÇÕES SOBRE COTISTAS DE FUNDOS DE INVESTIMENTO PARA TODOS OS TIPOS DE FUNDOS DE INVESTIMENTO

Em 12 de junho de 2019, foi publicada a Circular do Banco Central n° 3.945 (“CIRC n° 3.945/19”), que estende a aplicação da regra de remessa de informações sobre cotistas de fundos de investimento a todos os tipos de fundos de investimento, independentemente da categoria.

A alteração tem como base legal e regulamentar o artigo 106 da Lei 13.097/15, o qual enuncia que o Banco Central do Brasil (“BCB”) tem a faculdade de requerer dos administradores de fundos de investimento as informações necessárias para o desempenho de suas atribuições. Além disso, baseia-se no artigo 37 da Lei 4.595/64, que discorre que as instituições financeiras, entidades e pessoas referidas nos artigos 17 e 18 deste diploma legal, assim como os corretores de fundos públicos, ficarão obrigados a fornecer ao BCB, os dados ou informes julgados necessários para o fiel desempenho de suas atribuições.

Portanto, os administradores dos fundos de investimento e as instituições financeiras que atuem, segundo a forma regulamentada pela Comissão de Valores Imobiliários (“CVM”), como distribuidores de cotas de fundo de investimento por conta e ordem de clientes devem enviar mensalmente ao BCB, independentemente da categoria do fundo, arquivos contendo as seguintes informações relativas aos cotistas e aos respectivos fundos de investimento: i - em relação ao fundo de investimento: a) identificação; b) patrimônio líquido; c) quantidade de cotas; d) quantidade de cotistas; e ii – em relação aos cotistas: a) identificação do cotista, ou do custodiante se a cota for negociada em bolsa de valores; b) classificação; c) tipo de cota; d) quantidade de cotas; e) valor das cotas.

Ademais, a CIRC n° 3.945/19 dispõe, em seu artigo 2°, que o departamento responsável por realizar a curadoria das bases de dados de interesse da área de Fiscalização estabelecerá os procedimentos operacionais necessários ao cumprimento do disposto na CIRC n° 3.945/19, inclusive quanto à forma, o prazo e as condições de remessa das informações tratadas no artigo 1°, conforme disposto no ("Regimento Interno") do BCB. Cabe destacar que os dados recebidos pelo BCB serão compartilhados com a CVM por meio de plataforma tecnológica que atenda às necessidades de ambas. Os procedimentos operacionais serão estabelecidos pelo Departamento de Monitoramento do Sistema Financeiro (“Desig”).

Por fim, a circular estabelece que a captação das informações tenha início a partir da data-base de junho de 2020, prazo este necessário para o desenvolvimento e adaptação de sistemas por parte dos administradores dos fundos de investimento e das instituições financeiras reguladas.

BRAZILIAN CENTRAL BANK PUBLISHES CIRCULAR No. 3.945/19 TO EXTEND THE APPLICATION OF THE REMITTANCE OF INFORMATION RELATED TO THE INVESTMENT FUNDS SHAREHOLDERS TO ALL TYPES OF INVESTMENT FUNDS

On June 12, 2019, Circular No. 3.945 of the Central Bank (“CIRC No. 3.945/19”) was published, which extends the application of the rule for investment funds shareholders remittance of information to all types of funds regardless of the category.


The measure is based on the legal and regulatory article 106 Law 13.097/15, which states that the Central Bank of Brazil (“BCB”), shall have the right to request all necessary information linked to the performance of the investment funds managers as well as the article 37 of Law 4.595/64, which states that financial institutions, entities and individuals referred in articles 17 and 18 of the same law, as well as public funds brokerages, will be obliged to provide the BCB with data or reports deemed necessary to the faithful performance of their services.


Therefore, the investment fund managers and financial institutions acting with the regulations issued by the Securities and Exchange Commission (“CVM”) as distributors of investment funds quotas on behalf of customers must monthly send to the BCB, regardless of the category of the fund, files containing the following information regarding the shareholders and the respective investment funds: i – In relation to investment funds (a) identification; (b) net equity; (c) number of quotas; (d) number of shareholders; and ii – in relation to the shareholders: (a) identification of the shareholder, or of the custodian if the quota is traded on a stock exchange; (b) classification; (c) type of quota; (d) number of quotas; (e) value of the quota.

In addition, the CIRC No. 3.945/19 presents in its second article that the department responsible to perform the curatorship of the databases of interest in the Inspection area will establish the required operational procedures referred in the CIRC No. 3.945/19, moreover including the form, term and the information terms of delivery referred in the article 1 of the Internal Regiment of BCB (“Regimento Interno”). It is worth to highlight that the BCB databases will be shared with CVM through a technology platform which satisfies both entities. The operational procedures will be set by the Monitoring Department of Financial System (“Desig”).


Lastly, the circular states that the gathering of information shall be started from the base date of June 2020, which is the necessary period due to the aim of development and adaptation of systems not only by the investment funds managers but also by the regulated financial institutions.
